Agreement and eligibility

These Terms of Use (“Terms”) are a binding agreement between you and ExactNest governing your access to and use of the Service. By accessing or using the Service, submitting a home brief, or selecting a search action, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and legally capable of entering a binding agreement. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes the organization.

The Service

ExactNest is a property-search and decision-support platform designed to interpret a home brief, apply preferences, organize candidate properties, explain tradeoffs, and surface evidence or questions for further review.

Before an authorized listing feed is activated, the Service uses illustrative candidate data. A label such as “demo,” “illustrative,” “planned,” “lookup,” or “prototype” means the associated information is not a real listing or current availability. A result labeled “licensed MLS record” may appear only after the applicable feed, sponsorship, attribution, display, and operational controls are activated. Links to independent public listing searches may remain available in either mode.

Features, coverage, sources, rankings, and availability may vary by location. The illustrative demo may omit properties or use synthetic candidates because of incomplete fields, unsupported jurisdictions, or other limitations.

No brokerage, agency, or professional relationship

ExactNest is not a real-estate brokerage, broker, agent, multiple listing service, appraiser, inspector, title company, insurer, lender, attorney, tax adviser, or fiduciary. Using the Service does not create a brokerage, agency, fiduciary, advisory, confidential, or professional-client relationship.

ExactNest does not make offers, negotiate transactions, determine property value or insurability, guarantee financing, clear title, perform inspections, establish legal compliance, or determine whether a property is suitable for you. Any professional introduced through the Service acts independently and under separate terms.

Independent verification is required

Listing information, photographs, measurements, prices, availability, taxes, assessments, HOA information, permits, code records, flood designations, school assignments, boundaries, insurance factors, and other property facts may be inaccurate, incomplete, estimated, delayed, or changed without notice.

You are responsible for independently verifying every fact material to your decision with the appropriate source or qualified professional. This may include the listing brokerage, local government, property appraiser, surveyor, inspector, engineer, attorney, title company, insurance professional, lender, HOA or condominium association, and floodplain administrator.

A source responding, a record being found, or a confidence score being displayed does not establish that a property is safe, legal, insurable, financeable, defect-free, or suitable.

Rankings, scores, and automated analysis

Rankings, scores, summaries, risk labels, extracted features, and explanations are generated from available data, your stated preferences, configurable weighting, and automated or rules-based analysis. They are comparative decision aids—not objective truths, appraisals, predictions, guarantees, or recommendations to transact.

Important information may be missing or misinterpreted. Images may not show current condition, dimensions, unpermitted work, defects, or surrounding conditions. A high score does not eliminate risk, and a low score does not establish a defect. You remain solely responsible for your choices and for professional due diligence.

Licensed listing data and external links

Until an approved feed is activated, ExactNest does not host, reproduce, or display live MLS listing inventory. A public-listing button is a normal link to an independent property-search service. Following that link takes you away from ExactNest and subjects your activity to the third party's own terms and privacy notice. If licensed listing data is later displayed within ExactNest, the applicable on-page brokerage, MLS, attribution, copyright, and data-source notices are part of these Terms and must not be removed.

ExactNest does not grant rights to listing information, photographs, trademarks, or other content available on an external service. You may not use ExactNest to frame, scrape, harvest, download in bulk, republish, redistribute, or create a competing database from third-party listing content or media.

A link does not make ExactNest a brokerage, MLS participant, referral service, or agent of the destination service. ExactNest does not control the destination's inventory, accuracy, availability, advertising, lead forms, or communications.

Permitted use and prohibited conduct

ExactNest grants you a limited, revocable, nonexclusive, nontransferable right to use the Service for lawful personal purposes in accordance with these Terms.

You may not:

• use the Service or property information for an unlawful, discriminatory, deceptive, or harmful purpose;
• violate fair-housing, privacy, intellectual-property, MLS, IDX, or other applicable requirements;
• submit malware, probe security, bypass access controls, or interfere with the Service;
• use bots, crawlers, scripts, or automated means to access or extract content without written permission;
• misrepresent your identity, authority, affiliation, or intended use;
• attempt to identify, profile, harass, or contact a person using public property records;
• remove attribution, legal notices, watermarks, or rights-management information; or
• use the Service to make decisions about another person's housing eligibility, credit, insurance, employment, or access to services.

Your submissions and feedback

You retain ownership of information you submit. You grant ExactNest a worldwide, nonexclusive, royalty-free license to host, process, reproduce, transmit, and use that information only as reasonably necessary to provide, secure, support, and improve the Service, comply with law and data licenses, and enforce these Terms.

You represent that you have the right to submit the information and that it does not violate law or another person's rights. Do not submit confidential, infringing, unlawful, or sensitive personal information. Feedback and product suggestions may be used without restriction or compensation, provided we do not publicly identify you as the source without permission.

Third-party services and links

The Service may link to or rely on government portals, MLS providers, brokerages, maps, media, flood sources, hosting providers, and other third parties. ExactNest does not control and is not responsible for their availability, accuracy, security, terms, privacy practices, products, or conduct. A link or integration does not imply endorsement. Your use of a third party is governed by its own terms.

Ownership and intellectual property

ExactNest and its licensors own the Service, design, software, branding, selection and arrangement of content, original explanations, and related intellectual property. “ExactNest,” its logos, and associated marks may not be used without written permission. Third-party listing data, media, marks, and public records remain subject to the rights and notices of their respective owners and sources.

Availability, changes, and corrections

We may add, change, restrict, suspend, or discontinue any feature, source, coverage area, candidate, or the entire Service. We may correct or remove information and may cooperate with data providers on takedown, opt-out, attribution, or accuracy requests. We do not guarantee uninterrupted access, preservation of saved items, or compatibility with every device.

You can report an accuracy, attribution, media, privacy, or rights concern through the listing correction form. A report does not establish that the challenged information is inaccurate or unlawful. ExactNest may temporarily suppress content while investigating and may share the report with the relevant MLS, brokerage, provider, rights holder, or authority as described in the Privacy Policy.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, DATA, RANKINGS, SOURCES, LINKS, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. EXACTNEST DISCLAIMS WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, SECURITY, AND RESULTS.

Some jurisdictions do not permit certain warranty exclusions, so part of this section may not apply to you. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limits of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXACTNEST AND ITS OWNERS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, SAVINGS, DATA, OR OPPORTUNITIES; PROPERTY OR TRANSACTION LOSSES; OR COSTS OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID EXACTNEST FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

These limitations apply regardless of the theory of liability and do not apply where prohibited by law.

Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless ExactNest and its owners, affiliates, licensors, service providers, and representatives from claims, damages, liabilities, losses, judgments, costs, and reasonable attorneys' fees arising from your unlawful use of the Service, your submissions, your violation of these Terms, or your violation of another person's rights. ExactNest may control the defense of a covered claim, and you will reasonably cooperate.

Suspension and termination

We may suspend or terminate access when reasonably necessary to protect the Service, users, data providers, or others; address a legal or security risk; comply with a licensing obligation; or respond to a violation of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive will survive, including ownership, disclaimers, liability limits, indemnification, and general terms.

Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Unless applicable law requires otherwise, you and ExactNest consent to the exclusive jurisdiction and venue of the state and federal courts located in Collier County, Florida, for any dispute arising from or related to the Service or these Terms.

General terms

These Terms and the Privacy Policy are the entire agreement concerning the Service and supersede prior discussions on that subject. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A waiver must be in writing and is not a continuing waiver. You may not assign these Terms without our written consent; ExactNest may assign them in connection with a reorganization, financing, merger, sale, or transfer. Headings are for convenience only.

We may update these Terms by posting a revised version and changing the “Last updated” date. Material changes will receive additional notice when required. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
